Tanggung jawab notaris atas akta perubahan anggaran dasar yayasan yang tidak memenuhi kuorum rapat pembina syawal hilmi yanis rinaldi * novi sri wahyuni ** *** abstrak secara yuridis, pasal 18 dan pasal 20 undang-undang nomor 16 tahun 2001 tentang yayasan sebagaimana telah diubah dengan undang-undang nomor 28 tahun 2004, secara tegas mengharuskan setiap perubahan anggaran dasar yayasan diputuskan melalui rapat pembina yang sah dengan syarat kuorum kehadiran minimal 2/3 dari jumlah anggota pembina. namun dalam praktiknya, masih sering ditemukan akta perubahan anggaran dasar yayasan yang dibuat oleh notaris tanpa memenuhi syarat kuorum 2/3 tersebut, sehingga menimbulkan ketidakpastian hukum dan sengketa internal. penelitian ini mengkaji tanggung jawab notaris sebagai pejabat umum pembuat akta autentik dalam konteks pelanggaran kuorum, dengan fokus pada akibat hukum akta dan efektivitas pengawasan notaris di indonesia. penelitian ini bertujuan untuk menganalisis kedudukan dan tanggungjawab notaris dalam pembuatan akta perubahan anggaran dasar yayasan, mengkaji akibat hukum akta yang dibuat tanpa memenuhi kuorum pembina, serta mengevaluasi mekanisme pengawasan dan sanksi terhadap notaris yang bertindak tidak sesuai prosedur. penelitian ini menggunakan metode yuridis normatif dengan pendekatan kasus. pengumpulan data dilakukan melalui studi kepustakaan terhadap bahan hukum primer, sekunder, dan tersier, serta analisis kasus yayasan mim langsa yang terdaftar dalam perkara perdata nomor 3/pdt.g/2025/pn bna di pengadilan negeri banda aceh. hasil penelitian menunjukkan bahwa secara normatif akta perubahan tanpa kuorum pembina batal demi hukum (ex tunc). berdasarkan analisis terhadap putusan pn banda aceh nomor 3/pdt.g/2025/pn bna menyatakan gugatan tidak dapat diterima karena cacat formil (obscuur libel), sehingga pengadilan belum memeriksa pokok perkara. analisis terhadap berita acara pemeriksaan mpdn aceh besar nomor 001/bap/mpdn aceh besar/ii/2025 yang ditindaklanjuti mpwn provinsi aceh dengan menjatuhkan sanksi peringatan tertulis kepada notaris yang bersangkutan. disarankan kepada notaris untuk memperketat prinsip kehati-hatian (due diligence) dan bertindak sebagai gatekeeper legalitas yang wajib menolak pembuatan akta jika kuorum tidak terpenuhi. majelis pengawas notaris untuk mengoptimalkan pengawasan preventif melalui pemeriksaan protokol rutin yang lebih merata ke semua wilayah jabatan notaris, menyusun sop pemeriksaan rapat yayasan yang baku, serta menerapkan instrumen checklist verifikasi kuorum wajib. kata kunci : tanggung jawab notaris; anggaran dasar yayasan; kuorum rapat pembina



Abstract

NOTARY'S RESPONSIBILITY FOR THE DEED OF AMENDMENT TO FOUNDATION'S ARTICLES OF ASSOCIATION THAT DOES NOT MEET THE FOUNDER'S QUORUM Yanis Rinaldi Syawal Hilmi * Novi Sri Wahyuni ** *** ABSTRACT Juridically, Article 18 and Article 20 of Law Number 16 of 2001 concerning Foundations, as amended by Law Number 28 of 2004, expressly require that every amendment to a foundation's Articles of Association be decided through a valid Board of Founders meeting with a minimum attendance quorum of 2/3 of the total members. However, in practice, deeds of amendment to a foundation's Articles of Association are still frequently found to be made by notaries without fulfilling the 2/3 quorum requirement, leading to legal uncertainty and internal disputes. This research examines the notary's responsibility as a public official authorized to make authentic deeds in the context of such quorum violations, focusing on the legal consequences of the deed and the effectiveness of notary supervision in Indonesia. This study aims to analyze the position of the notary in making the deed of amendment to the foundation's Articles of Association, examine the legal consequences of a deed made without fulfilling the founder's quorum, and evaluate the supervision mechanisms and sanctions against notaries who do not comply with procedures. This research employs a normative juridical method with a case approach. Data were collected through literature review of primary, secondary, and tertiary legal materials, as well as an analysis of the MIM Langsa Foundation case registered in the Banda Aceh District Court. The results show that normatively, a deed of amendment made without a quorum is null and void from the beginning (ex tunc). The Banda Aceh District Court Decision Number 3/Pdt.G/2025/PN Bna declared the lawsuit inadmissible due to formal defects, leaving the merits of the case unexamined. Nevertheless, administrative enforcement has proceeded through the Aceh Besar Regency Notary Supervisory Council (MPDN) Examination Record Number 001/BAP/MPDN Aceh Besar/II/2025, followed up by the Regional Notary Supervisory Council (MPWN) of Aceh Province with progressive First, Second, and Third Written Warnings against Notary A for alleged violations of Articles 15 and 16 of the Notary Public Act (UUJN). It is recommended that Notaries tighten the principle of prudence (due diligence) and act as legal gatekeepers who must refuse to draft a deed if the quorum is not met. The Notary Supervisory Council is advised to optimize preventive supervision by increasing the frequency of routine protocol examinations more evenly across all notary jurisdictions, drafting a standardized SOP for inspecting foundation meetings, and implementing a mandatory quorum verification checklist instrument.
