Penelitian ini bertujuan untuk menguji pengaruh pengungkapan esg dan pemotongan pajak perusahaan terhadap probabilitas merger dan akuisisi (m&a), dengan greenwashing sebagai variabel moderasi. penelitian ini menggunakan pendekatan kuantitatif. populasi penelitian terdiri dari seluruh perusahaan yang terdaftar di bursa efek indonesia, malaysia, singapura, thailand, vietnam, dan filipina selama periode 2020–2025. sebanyak 124 sampel diperoleh menggunakan metode paired sampling. data sekunder digunakan dalam penelitian ini, dengan analisis regresi logistik untuk menguji data. hasil penelitian menunjukkan bahwa pengungkapan esg meningkatkan probabilitas perusahaan untuk melakukan m&a, sementara pemotongan pajak perusahaan dan greenwashing tidak berpengaruh signifikan terhadap probabilitas m&a. untuk variabel kontrol, fixed asset turnover (fat) meningkatkan probabilitas m&a, sedangkan leverage (dar), profitabilitas (roa), arus kas (cf), dan kualitas audit tidak memiliki pengaruh signifikan terhadap m&a.



Abstract

This study examines the effect of ESG disclosure and corporate tax cuts on the probability of mergers and acquisitions (M&A), with greenwashing as a moderating variable. This study adopts a quantitative approach. The population consists of all companies listed on the stock exchanges of Indonesia, Malaysia, Singapore, Thailand, Vietnam, and the Philippines during the 2020–2025 period. A total of 124 samples were obtained using a paired sampling method. Secondary data were utilized, and logistic regression was employed to analyze the data.The results indicate that ESG disclosure increases the probability of a company engaging in M&A, while corporate tax cuts and greenwashing do not significantly affect the likelihood of M&A. As for the control variables, fixed asset turnover (FAT) increases the probability of M&A, whereas leverage (DAR), profitability (ROA), cash flow (CF), and audit quality do not have a significant effect on M&A.
